...2005 by and between ERate Consulting Services, LLC("ERC"), having its principal office at 117 Brown Springs Road, Montgomery, AL 36117 and Richard Larson (hereinafter “Rich "), of 118 Chesapeake Avenue, Lake Hiawatha, NJ 07034-1716.
A. WHEREAS, ERC operates as a compliance service company and provides FCC Universal Service fund processing and forms documentation service contracts (herein called "Services") to School Districts, Schools, Libraries, Consortiums, Rural Health Care Providers (herein called "Applicants"); and
B. WHEREAS, ERC has extended time, effort, and money to acquire experience and knowledge with respect to Services, together with related procedures; and
C. WHEREAS, ERC has developed proprietary contracts, Applicant and Service Provider Agreements to offer specifically to eligible Applicants and Service Providers; and
D. WHEREAS, Rich wishes to assist with the servicing of contracts with existing and future clients; and
E. WHEREAS, Rich recognizes and acknowledges the importance of maintaining the relationship created in the Service Agreements provided to eligible Applicants and Service Providers, each with the other, and the equal importance of maintaining the distinctive features of the business to the Applicants in order that the reputation of ERC be maintained;
F. WHERAS, ERC is engaged in the business of providing these and other professional services to the eligible participants in the Universal Service Fund;
G. ERC desires to have the services of Rich who will perform the job duties at the following locations: 118 Chesapeake Avenue, Lake Hiawatha, NJ 07034-1716 and an office in the surrounding area to be identified.
H. Rich is willing to be employed by ERC.
Therefore, the parties agree as follows:
